Shell overhauls its board

Dick Boer is to become deputy chair and senior independent director, following the announcement that Euleen Goh will step down.

Following news earlier this week about restructuring parts of its business, Shell plc has also now announced a shake-up to its board.

There are two new non-executive directors, and current NED Dick Boer will take over as deputy chair and senior independent director when Euleen Goh steps down from the board at the AGM in May.

At the same time, current NED Catherine Hughes will move to the audit committee, when non-executive director Jane Holl Lute will take Hughes’ seat on the remuneration committee.

The new non-executive directors are Sir Charles Roxburgh and Leena Srivastava, whose appointments take effect from 13 March 2023. They will become, respectively, members of the audit committee and safety, environment and sustainability committee.

After a long career at management consultancy McKinsey & Co, Sir Charles joined HM Treasury, becoming second permanent secretary in 2016, a position he held until last year.

Academic Leena Srivastava is a former executive director of the Energy and Resources Institute in New Delhi. She co-chairs the science advisory group for the UNSG’s Global Climate Action Summit and the science advisory committee of Future Earth.

Sir Andrew Mackenzie, chair of Shell plc, said: “I’m delighted to welcome Sir Charles and Leena to the board. Sir Charles brings a wealth of experience in economics, financial management and government, and I know he will make a great contribution to the Shell board.

“Leena is a leading global authority on climate science, based in India—an important market and operational centre for Shell. Her decades of experience on energy, environment and climate change policy, as well as her expertise in sustainable development, will further strengthen Shell’s energy transition efforts as we continue to deliver the energy the world needs today, while working to decarbonise our own activities and those of our customers.”
